UCC-3 Amendment

A UCC-3 changes an existing UCC-1 — used for continuations, terminations, assignments, and amendments to the parties or collateral.

A UCC-3 is filed against an existing UCC-1 to change it. The same form covers several actions: continuing the filing so it doesn’t lapse, terminating it, assigning it to a new secured party, or amending the collateral or party information.

Because a UCC-3 references the original UCC-1’s file number, it tells you how a secured relationship is evolving over time — not just that it exists.

Why it matters for lenders

UCC-3 activity is signal, not noise: a termination can flag a payoff or refinance opportunity, an assignment tells you the debt changed hands, and a continuation says the lender intends to stay in place.
