Agreement to terms

These Terms of Use (“Terms”) govern your access to and use of the PerfectUCC website and services (the “Services”) provided by PerfectUCC (“PerfectUCC,” “we,” “us,” or “our”). By creating an account or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

The Services

PerfectUCC monitors public UCC filing records and notifies you of activity affecting the companies and borrowers you choose to track. The Services rely on data sourced from third-party government databases. We strive for accuracy and timeliness but do not guarantee that the data is complete, current, or error-free.

Accounts

• —You must provide accurate account information and keep it up to date.
• —You are responsible for safeguarding your credentials and for all activity under your account.
• —You must notify us promptly of any unauthorized use of your account.
• —You must be at least 18 years old and use the Services for legitimate business purposes.

Fees and billing

The Services are billed on a usage basis at the rates shown on our pricing page. Charges are prorated by active days and billed monthly in arrears. A valid payment method is required to use the Services. You authorize us to charge your payment method for all fees incurred. Fees are non-refundable except where required by law.

Acceptable use

You agree not to:

• —Use the Services in violation of any applicable law or regulation.
• —Resell, sublicense, or redistribute the data or Services without our written permission.
• —Scrape, reverse engineer, or attempt to gain unauthorized access to the Services.
• —Interfere with or disrupt the integrity or performance of the Services.
• —Use the Services to harass, defame, or unlawfully harm any person or entity.

Intellectual property

The Services, including all software, content, and branding, are owned by PerfectUCC and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms. Underlying public records are not owned by us.

No legal or financial advice

The Services provide informational alerts based on public records. PerfectUCC is not a law firm, credit bureau, or financial advisor, and nothing in the Services constitutes legal, financial, or professional advice. You are responsible for your own decisions and should consult appropriate professionals where needed.

Disclaimer of warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that the data will be accurate or complete.

Limitation of liability

To the maximum extent permitted by law, PerfectUCC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed the amount you paid us in the twelve months preceding the claim.

Termination

You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we are required to do so by law. Upon termination, your right to use the Services ends, though certain provisions of these Terms will survive.

Changes to these terms

We may modify these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
