Lien Perfection

Perfection is the step — usually filing a UCC-1 — that makes a security interest enforceable against other creditors and sets its priority.

A security interest attaches when a lender and borrower agree and value is given, but attachment alone isn’t enough to beat competing creditors. Perfection — most commonly by filing a UCC-1 financing statement — gives public notice and establishes the lender’s priority.

Priority generally follows a first-to-file rule, which is why the timing of UCC filings matters so much to secured lenders.

Because priority tracks filing order, knowing when a competing lender perfects against your borrower — the moment their UCC-1 hits the record — is what lets you protect your position.
